01. Acceptance of Terms
By engaging the services of Vision Edge Solutions ("we," "our," or "the Company"), submitting a project enquiry, or signing a Statement of Work (SOW), you confirm that you have read and agree to these Terms and Conditions in full.
These Terms govern all service engagements between Vision Edge Solutions and its clients. We reserve the right to update these Terms at any time; changes will be published on this page and communicated to active clients.
02. Our Services
Vision Edge Solutions provides digital and technology services including but not limited to:
- Custom web and mobile application development
- Cloud infrastructure setup, DevOps, and managed hosting
- Artificial intelligence and machine learning solutions
- Digital marketing, SEO, PPC, and social media management
- IT strategy consulting and technology roadmapping
- UI/UX design, branding, and product design
- Cybersecurity assessments and data protection consulting
All services are scoped and delivered as per an agreed Statement of Work (SOW) or Service Agreement. Deliverables outside the agreed scope are subject to a Change Request process and additional billing.
03. Project Engagement
All project engagements begin with a discovery call and formal SOW signed by both parties. No development work begins without written approval of the SOW and receipt of advance payment.
- Project timelines are based on timely delivery of client-provided materials (content, assets, access, feedback)
- Delays caused by client non-responsiveness (exceeding 5 business days) will result in timeline revision
- Agile projects are delivered in 2-week sprints with weekly status updates
- Scope changes require a written Change Request and may impact timeline and cost
- Client feedback must be consolidated and provided within 5 business days of each delivery milestone
💡 A clearly defined SOW protects both parties. We recommend all clients review and agree to the project scope document before work begins.
04. Payments & Invoicing
Our standard payment structure for project-based engagements:
- 50% advance payment upon SOW signing
- 25% at project midpoint (milestone completion)
- 25% upon final delivery and client sign-off
- Monthly retainer clients are billed in advance at the start of each month
- All invoices are due within 7 business days of issuance
- Late payments beyond 14 days attract an interest of 2% per month on outstanding amounts
- All prices are exclusive of GST (18%) unless explicitly stated
05. Intellectual Property
Upon receipt of full and final payment, all custom-developed code, designs, and deliverables created specifically for the client become the client's intellectual property.
- Vision Edge Solutions retains ownership of all pre-existing tools, frameworks, libraries, and proprietary methodologies used in the project
- Open-source components used in projects remain subject to their respective licences
- Vision Edge Solutions may showcase completed projects in its portfolio unless the client requests confidentiality in writing
- Clients may not claim ownership of deliverables prior to full payment settlement
06. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the engagement. Vision Edge Solutions will not disclose client business data, project specifics, or trade secrets to any third party without written consent.
A mutual Non-Disclosure Agreement (NDA) is available upon request and may be signed prior to the commencement of detailed project discussions.
07. Warranties & Liability
Vision Edge Solutions warrants that all deliverables will function as specified in the SOW at the time of delivery. A 30-day warranty period covers bug fixes directly related to our development work post-launch.
- Warranty does not cover issues caused by client modifications, third-party plugins, or hosting environment changes
- Our total liability for any claim is limited to the fees paid for the specific project phase in question
- We are not liable for indirect, consequential, or special damages including loss of revenue or data
- Digital marketing results (rankings, ad conversions) are not guaranteed; we commit to best-practice execution
08. Cancellation & Refund
Projects may be cancelled by either party with 14 days written notice. In the event of client-initiated cancellation:
- Work completed to date will be billed at the pro-rated project rate
- The initial 50% advance is non-refundable once work has commenced
- Deliverables completed and signed-off are non-refundable
- Monthly retainer cancellations require 30 days written notice; the current month's fee is non-refundable
09. Third-Party Services
Many projects involve third-party tools, platforms, and APIs (e.g., AWS, Google Cloud, Stripe, Razorpay, Firebase). The client is responsible for all third-party subscription costs, licences, and usage fees unless agreed otherwise in the SOW.
Vision Edge Solutions is not liable for service interruptions, price changes, or policy changes by third-party providers. We will make commercially reasonable efforts to mitigate such impacts.
10. Governing Law
These Terms and Conditions are governed by the laws of India. Any disputes arising from our services or engagement shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
